The following document outlines the terms and conditions on which you (“Investing Partner”) may use this website (www.TheOpportunityExchange.net) and / or mobile applications (the “Opportunity Exchange Platform”). You are required to read and agree to these Terms and Conditions of use. By using this Opportunity Exchange Platform, you agree that you accept these Terms and Conditions of use.
Any part, provision, term, condition, warranty, statement and or sentence of these Terms and Conditions of use which is prohibited and or held to be void and or unenforceable, then such part, provision, term, condition, warranty, statement and or sentence of these Terms and Conditions of use shall be ineffective to the extent of such prohibition or unenforceability without invaliding the remaining part, provision, term, condition, warranty, statement and or sentence of these Terms and Conditions of use in so far as possible and to the maximum extent permitted under law.
About us
www.TheOpportunityExchange.net is a website owned and operated by The Opportunity Exchange Limited (“We”, “Us”, “Our”), a company registered in Ireland under company number 661258 and having our registered office at 74, South Mall, Cork.
We are not advisors, brokers or intermediaries and are not advising you to proceed with any Opportunity that may be posted on our Opportunity Exchange Platform by our Requesting Partners. We are merely providing a Platform for you to view Opportunities posted by our Requesting Partners and thereafter it is for you to decide if and how to proceed, or not, as the case may be.
Our Role
Our role is to facilitate an Opportunity Exchange Platform where a prospective party (“Requesting Partner”) with a specific funding requirement (“Opportunity”), can present the Opportunity to potential funders (“Investing Partner”).
We are not parties to any contract or agreement that may arise between a Requesting Partner and an Investing Partner in relation to an Opportunity.
An Investing Partner retains complete control and discretion over whether or not to pursue an Opportunity. Nothing we do shall be construed, or is intended to operate or be construed, as advice or a recommendation by us to enter into a particular transaction, or any transaction at all.
You should seek your own independent legal advice prior to entering into any transaction posted on the
Opportunity Exchange Platform.
You acknowledge and agree that all transactions that may arise in relation to an Opportunity posted on our Opportunity Exchange Platform are strictly and only between you and the Requesting Partner, and we are in no way party to any such transaction.
No Advice
We are not advising you in relation to any Opportunity presented on our Opportunity Exchange Platform and any information posted on this Opportunity Exchange Platform is not intended to amount to advice. You should seek independent advice before entering any transaction with a Requesting Partner, undertake whatever independent due diligence you consider necessary and come to your own conclusion as to whether or not to proceed. We are not liable or responsible for any reliance placed by you (or any third party you may inform) on any information, documentation or material presented on our Opportunity Exchange Platform.
Accessing our Opportunity Exchange Platform
Access to our Opportunity Exchange Platform is provided without any express or implied warranties or statements as to the suitability of any Opportunity listed on our Opportunity Exchange Platform. We reserve the right to withdraw or amend the service we provide on our Opportunity Exchange Platform without notice. We will not be liable if for any reason our Opportunity Exchange Platform is unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to this Opportunity Exchange Platform. You are also responsible for ensuring that all persons who access this Opportunity Exchange Platform through your internet connection are aware of these Terms and Conditions of use, and that they comply with them.
Intellectual property rights
We are the owner of all intellectual property rights in this Opportunity Exchange Platform, and in the material published on it and we reserve all rights in this regard. You must not print off copies or download any extracts from any part of the Opportunity Exchange Platform unless expressly authorised by us to do so. If you print off, copy or download any part of our Opportunity Exchange Platform in breach of these Terms and Conditions of use, your right to use our Opportunity Exchange Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
We are not responsible for content, or the accuracy of the content, posted by Requesting Partners on our Opportunity Exchange Platform, including the content of properties, valuations, term sheets, images and content in the discussions.
Fees and Costs
We do not charge a fee to you as an Investing Partner. We charge an access fee to Requesting Partners on posting an opportunity to our Opportunity Exchange Platform. In addition, we charge a success fee to Requesting Partners if a transaction in subsequently completed between an Investing Partner and a Requesting Partner in relation to an Opportunity.
Limitation of Our Liability
The information, documentation and material displayed on this Opportunity Exchange Platform is provided without any guarantees, conditions or warranties as to its accuracy. To the maximum extent permitted by law we disclaim any liability for any direct, indirect or consequential loss or damage incurred by any you or any user in connection with our Opportunity Exchange Platform or in connection with the use, inability to use, or results or the use of this Opportunity Exchange Platform, any materials posted on it, including, without limitation any liability for loss of income, revenue, business, profits, contracts, data, goodwill and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
Information about you and your visits to our Opportunity Exchange Platform
We process information about you in accordance with our Privacy Policy. By using this Opportunity Exchange Platform, you consent to such processing and you warrant that all data provided by you is accurate.
Prohibited uses of our Opportunity Exchange Platform
